STATE YOUTH SOCCER ASSOCIATION
CONSTITUTION
AND BY-LAWS
AMENDED
JUNE 6, 2006
ARTICLE
I -
NAME AND AFFILIATION
The
name of this organization shall be the Lower State Youth Soccer
Association (LSYSA). The LSYSA
shall be affiliated and represent its members and players with the
South Carolina Youth Soccer Association (SCYSA) and the United States Youth Soccer Association (USYSA) and
the United States Soccer Federation (USSF).
The LSYSA area shall include, but not be limited to, the counties of
Beaufort, Berkeley, Charleston, Colleton, Dorchester, Georgetown, Hampton,
Horry and Jasper.
ARTICLE II
- PURPOSE
1.
To foster the growth of youth soccer within the LSYSA area.
2.
To educate, train and develop coaches, players and parents.
3. To encourage the spirit of fair play and
sportsmanship.
ARTICLE III
- ADDRESS
The
official location and address of the Lower State Youth Soccer Association
shall be the address of the current President.
ARTICLE IV
- MEMBERSHIP
1.
Any properly constituted club that falls within the LSYSA area may
become a member of LSYSA if all requirements of membership are met. To become a member of the
LSYSA, club applications must be
accompanied by any initiation or prepayment of fees and/or dues that may
be required by the LSYSA Executive Board.
Application forms must contain information denoting a suitable home
field location to be valid. Fees
and assessments for registration, referees and other league fees not paid
by a date set by the Executive Board could cause forfeiture of all league
games played prior to or on that date.
Clubs still delinquent after that date may be ineligible for
tournament play.
2.
A voting member club shall be defined as an organization consisting
of four (4) or more teams and representing youth soccer. A new club that will not infringe on another LSYSA club will
become a member of LSYSA based on a simple majority vote.
The only exception shall be that a given area may be represented by
more than one properly constituted club, provided that 75% of the voting
member clubs have consented to the new club becoming a member of the
association. If a voting
member club ceases to maintain at least four teams, voting status will not
be automatically revoked; however, voting status may be revoked by a vote
of 75% of the voting members.
3.
If a club fails to be represented after two consecutive meetings
and is not available when a quorum is determined at the next meeting, that
club will lose voting status within LSYSA effective immediately.
If a club fails to provide representation for 5 or more meetings
during a club year, that club will lose voting status effective with the 5th
missed meeting. Once a
club’s voting status has been removed due to meeting attendance, it can
be reinstated after the club representative attends two consecutive
meetings or when the club pays a $50 fine.
4.
All clubs shall be subject to the jurisdiction of the LSYSA and
will adhere to the constitution and by-laws, and the
LSYSA operation rules, as
well as comply with its authority.
5.
The LSYSA will at all times comply with and enforce the rules,
regulations and the constitution and by-laws of the SCYSA, USYSA and the
USSF.
ARTICLE
V -
MEETINGS/ROBERT'S
RULES OF ORDER
1.
The LSYSA shall conduct a monthly meeting to be held on the third
Monday of the month. The
exact time and place of all meetings shall be determined by the Executive
Board.
2.
The order of Business and the agenda for the LSYSA meetings shall
be prepared by the President.
3.
Quorums for the transaction of business shall be one-half of the
voting member clubs and LSYSA officers.
4.
Robert's Rules of Order shall govern the proceedings of all
meetings.
5.
Any member organization or individual may attend a meeting of LSYSA.
The individual or organization may be placed on the agenda by
notifying the President prior to the beginning of the meeting. Those requesting time to speak to a bona fide issue shall not
be denied the right.
ARTICLE
VI -
ELECTED OFFICERS
1.
The officers of the LSYSA shall include:

Commissioner
G. Member-at-Large
2.
The officers of LSYSA shall be elected for a term of one (1) year
and may succeed themselves in office.
Elections shall be held at the annual general meeting in May.
3.
The Member-at-Large shall usually be the immediate past president.
4.
If the officers can not be elected from the club representatives, a
member of a club in good standing may be elected to an office and is
entitled to all rights and privileges.
5.
All voting member clubs in good standing are entitled to send one
(1) voting representative to
all LSYSA meetings. Clubs
shall identify, in writing, to
the Secretary in April of each year the club representative that will
attend the monthly meetings. Clubs
shall also identify one (1) alternate.
If the club representative and the alternate are both absent any
club officer may represent the club.
ARTICLE VII
- DUTIES OF OFFICERS
1.
President: The President shall
preside at all meetings of LSYSA and the Executive Board; appoint committees; call
general meetings or Executive Board meetings as necessary or when
requested to do so by any two (2) members
of the Executive Board or any three (3) voting members of the
organization; conduct and supervise the business and activities of
LSYSA. The President
shall vote only in the case of ties regarding matters put to the vote
between the Executive Board and the LSYSA board.
The President shall be authorized to sign all checks and official
papers for the board.
2.
Vice President: In case of absence or
disqualification, the Vice President shall assume the duties and
responsibilities of the President. The
Vice President shall otherwise assist the President as required.
The Vice President shall be the chairperson of the Appeals and
Protest Committee.
3.
Secretary: The Secretary shall be
responsible for the recording and preparing of the minutes of all meetings
of the LSYSA. The
Secretary shall provide timely notification to the members of the LSYSA regarding matters of particular interest.
4.
Treasurer: The Treasurer shall
collect all dues, fees and assessments and have charge of all LSYSA
monies. The
Treasurer shall keep a detailed accounting of all income and expenditures
and submit a written report at each LSYSA monthly meeting.
The Treasurer shall be authorized to sign checks drawn on the LSYSA
bank account. The Treasurer
shall be responsible for the prompt payment of all LSYSA bills.
5.
Registrar: The Registrar shall
maintain a complete list of all LSYSA teams and coaches. The
Registrar shall keep a copy of all team forms on file.
The Registrar shall be responsible for providing the Treasurer with
an accurate account of all LSYSA teams. The Registrar shall be responsible for LSYSA meeting
all registration deadlines set by the SCYSA.
6.
Youth Commissioner: The Youth Commissioner shall be chairperson of the Rules and
Regulations committee. The Youth Commissioner will appoint and coordinate with
player representatives of each age group.
7.
Member-at-Large: The Member-at-Large
shall usually be the immediate past president of LSYSA.
Should the immediate past president refuse to act as the
Member-at-Large or should the office be declared vacant for any reason,
the President shall appoint a Member-at-Large to fill such a vacancy for
the unexpired portion of the term. The
appointment must be ratified by the Executive Board.
ARTICLE VIII
- PLAYER
REPRESENTATIVE
The
Youth Commissioner upon taking office will appoint a Player Representative
for each age group to be ratified by the Executive Board. The Player Representative will act as a liaison between
coaches and teams within their respective age groups and the Youth
Commissioner. The Player
Representative is defined as coaches or adults not youth players.
ARTICLE

EXECUTIVE BOARD
The
Executive Board shall be composed of the following:

ARTICLE
X -
COMMITTEES

The following shall be standing committees of the LSYSA:
A. Rules
and Regulations

and Protest
C. Ethics
D. Public
Relations and Development
2.
The Ethics Committee shall be composed of the following:
The Youth Commissioner as chairperson and at least two voting
member club volunteers. The
committee shall follow the guidelines set forth in the LSYSA Rules of
Operation.
3.
The Public Relations Committee shall be composed of the following:
Two (2) board members appointed
by the President. The
Public Relations Committee shall be responsible for promoting the affairs
of LSYSA.
4.
The Rules and Regulations Committee shall be composed of the
following: The Youth
Commissioner as chairperson
and the other LSYSA members
that might choose to serve.
5.
The Appeals and Protest Committee shall be composed of the
following: The
Vice President as chairperson and at least two voting member club
volunteers. This committee
shall follow the guidelines set forth by SCYSA and USSF.
6.
The President, pursuant to the direction of the board, shall have
the power to appoint other committees as necessary.
ARTICLE XI
- AMENDMENTS
Amendments
to the LSYSA Constitution and By-laws may be made at any meeting of the LSYSA
by a vote of two-thirds of the entire voting membership (if all
offices are filled ) provided
all voting members have been given seven (7) days written notice of the
meeting and a written copy of the proposed changes.
ARTICLE XII
- SEASONAL
PLAYING YEAR/FISCAL YEAR
The
official year of the LSYSA extends from September 1 to August 31.
This will be referred to as the current seasonal year by the SCYSA,
USYSA and the USSF.
ARTICLE XIII
- AWARDS
The
LSYSA board will approve all awards given by LSYSA.
ARTICLE XIV
- DISSOLUTION
In
the event of dissolution, the residual assets of the organization will be
turned over to one or more organizations which themselves are exempt as
organizations described in Sections 501© (3)
and 170 © (2) of the Internal Revenue Code of 1954 or
corresponding sections of any prior or future law, or to the Federal,
State or Local government for exclusive purpose.
ARTICLE XV
- TAX EXEMPTION STATUS
Notwithstanding
any other provision of these articles, this corporation will not carry on
any other activities not permitted to be carried out by (a) a corporation
exempt from Federal income tax under Sections 501 (c) (3) of the Internal
Revenue Code of 1954 or the corresponding provision of any future United
States Internal Revenue law or (b) a
corporation, contributions to which are deductible under Section 170 (c)
(2) of the Internal Revenue Code of 1954 or any other corresponding
provision of any future United States Internal Revenue law.
ARTICLE XVI
- RULES OF
INCORPORATION
Said
corporation is organized exclusively for charitable, religious,
educational and scientific purposes, including for such purposes, the
making of distributions to organizations that qualify as exempt
organizations under Section 501 © (3) of the Internal Revenue Code of
1954 ( or the corresponding provision of any future United States Internal
Revenue law).
ARTICLE XVII - RISK
MANAGEMENT
The
organization shall enforce and comply with all Risk Management policies
and procedures set forth by the South Carolina Youth Soccer Association (SCYSA)
and the U.S. Youth Soccer Association (USYSA).
ARTICLE XVIII -
EQUAL
OPPORTUNITY
The
organization will not discriminate against any individual on the basis of
race, ethniticity, color, religion, age, sex or national origin.
